AI Terms of Use

    1. Scope of Application

    1.1. These AI Tool Usage Terms (hereinafter, the “Usage Terms”) govern the use of the artificial intelligence content generation tool (hereinafter, the “AI Tool”) integrated into the web platform for marketing and sales automation known as “Clientify” (hereinafter, the “Platform”).

    These Usage Terms apply to and form an integral part of the License Agreement for the Use of the Clientify Web Platform for marketing and sales automation (hereinafter, the “Platform”), entered into between the following Parties:

    • Clientify, SL, a company with its registered office at Calle Padre Luque, No. 1, 1º-Izquierda, 04001, Almería, Spain, with Tax Identification Number (NIF) B-04800249 and contact email [email protected] (hereinafter, also “Clientify”), as the holder of the intellectual property and commercialization rights of the Platform; and
    • The Client: An individual or legal entity that has duly completed and registered the Platform’s registration form or, where applicable, signed the specific conditions of the License Agreement for Use and accepted the General Terms and Conditions of Contract.

    1.2. Use of the AI Tool entails full acceptance of these Usage Terms, which the Client acknowledges having read. The Client also fully accepts Clientify’s General Terms and Conditions of Contract, Legal Notice, and Privacy Policy, available at the following links: https://clientify.com/wp-content/uploads/2022/08/2021_03_17_-_Condiciones_Generales_de_Contratacion_Clientify.pdf, https://clientify.com/aviso-legal, and https://clientify.com/politicas-de-privacidad, which the Client acknowledges having read.

    1. Scope and Permitted Use

    2.1. The AI Tool is designed to assist the Client in generating automated content for purposes related to the Platform, such as customer management, sales, and marketing.

    2.2. Use of the AI Tool is subject to the following conditions:

    • The Client undertakes to use the AI Tool solely for lawful purposes and within the scope of commercial activities permitted by Clientify.
    • Use of the AI Tool to generate offensive, illegal, defamatory, fraudulent, or third-party rights-infringing content is prohibited.
    • Clientify reserves the right to suspend or restrict access to the AI Tool in cases of misuse.
    1. Client Responsibility

    3.1. The Client is solely responsible for the content generated using the AI Tool and its subsequent use.

    3.2. Clientify does not guarantee the accuracy, originality, or suitability of content generated by the AI Tool.

    3.3. The Client must review and validate any content generated by the AI Tool prior to its use or publication.

    1. Limitation of Liability

    4.1. Clientify shall not be liable for any damages or losses arising from the use of content generated by the AI Tool.

    4.2. Clientify provides access to the AI Tool without any express or implied warranties beyond enabling the Client to manage content generation through the AI Tool.

    4.3. Clientify assumes no responsibility for decisions made based on content generated by the AI Tool.

    1. Privacy and Data Protection

    5.1. Clientify will process data entered into the AI Tool in accordance with its Privacy Policy and applicable data protection regulations.

    5.2. The Client is responsible for not entering sensitive or protected data into the AI Tool without obtaining the necessary authorizations.

    1. Miscellaneous

    6.1. Clientify reserves the right to modify or amend these Usage Terms to comply with legislative changes or market practices. Clientify will publish any changes to the Usage Terms on its website or through direct communication to the Client. The Client is deemed to consent to the notified changes if they do not expressly object within 30 days and continue using the AI Tool. Non-acceptance of changes will result in termination of the Client’s ability to use the AI Tool.

    6.2. Notwithstanding any agreement between Clientify and the Client, Clientify may suspend or terminate access to the AI Tool at any time without prior notice, without entitling the Client to compensation.

    1. Applicable Law and Jurisdiction

    The Parties expressly waive any other jurisdiction and submit to Spanish law and the jurisdiction of the Courts and Tribunals of Almería for any disputes arising from the interpretation, execution, or performance of these Usage Terms.

    1. Language

    These Usage Terms are drafted in Spanish and English. In case of discrepancies, the Spanish version prevails.
